Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you", "your", "user" or "customer") and the operator of VexYra Executive ("VexYra", "we", "us" or "our").

These Terms apply to your access to and use of the VexYra Executive website, web application, software, features, services and related functionality.

If you do not agree with these Terms, you must not create an account, purchase a subscription or use VexYra Executive.

2. Definitions

For the purposes of these Terms:

• "Service" means VexYra Executive and its related software, website, functionality and services.
• "Account" means the user account created to access the Service.
• "Trial" means the limited promotional access period made available to eligible new users.
• "Paid Plan" means a subscription or paid access plan purchased through the Service.
• "Business Data" means information, records, documents, entries, customer information, operational information and other data entered into the Service by or on behalf of the customer.

3. Eligibility

You represent that you are legally capable of entering into a binding agreement under the laws applicable to you.

If you access or use VexYra Executive on behalf of a company, partnership, organisation or other entity, you represent that you have the authority to bind that entity to these Terms.

VexYra Executive is primarily intended for professional and business use.

4. Account Registration

Certain features require you to create an account. You agree to provide accurate, current and complete information during registration.

You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

You must notify VexYra promptly if you believe your account has been accessed without authorization or if your credentials have been compromised.

You must not share your account credentials in a manner that allows unauthorized persons to access paid features or otherwise circumvent account restrictions.

5. Free Trial

VexYra may provide eligible new users with a limited trial period. The standard trial period currently offered by VexYra Executive is 30 days, unless a different period is expressly displayed at registration or communicated by VexYra.

The trial is intended to allow users to evaluate the Service before purchasing a Paid Plan.

Unless otherwise stated, trial access is available only once per person, organisation or account and may not be recreated through duplicate accounts for the purpose of obtaining additional trial access.

VexYra may modify, restrict, suspend or discontinue trial eligibility where reasonably necessary to prevent abuse, fraud or misuse.

When the trial expires, access to features may be restricted, suspended or disabled unless a Paid Plan has been purchased.

6. Paid Plans & Subscriptions

VexYra Executive may offer different paid access plans, including monthly and yearly plans.

The applicable plan, price, billing period, features and other commercial terms displayed at the time of purchase will apply to that transaction.

A Paid Plan becomes active after successful payment confirmation and successful provisioning of the applicable account access.

Unless the checkout page expressly states otherwise, purchasing a plan provides access for the specific period purchased and does not automatically renew the plan.

VexYra may introduce, modify or discontinue plans, features or pricing for future purchases. Changes will not retroactively alter a paid period that has already been purchased, except where required by law.

7. Pricing & Taxes

Prices for VexYra Executive are displayed during the applicable purchase process.

Unless expressly stated otherwise, applicable taxes, government charges or statutory levies may be included in or added to the displayed price as required by applicable law.

The final amount payable will be the amount shown to you immediately before you authorize payment.

You are responsible for providing accurate billing and transaction information where required.

If VexYra is required by law to collect or remit taxes associated with your purchase, such amounts may be reflected in the transaction.

8. Payments & Razorpay

Payments for VexYra Executive may be processed through third-party payment service providers, including Razorpay.

When you initiate a payment, you may be redirected to or interact with a payment interface operated or provided by the applicable payment service provider.

VexYra does not intentionally collect or store your full credit card, debit card, banking password, UPI PIN or other sensitive payment credentials on its own systems.

Payment processing is subject to the applicable payment provider's terms, policies, security controls and requirements, in addition to these Terms.

Razorpay may process transaction information in accordance with its own applicable policies and legal obligations.

VexYra is not responsible for delays caused by banks, card networks, UPI providers, payment processors, internet connectivity or other third-party financial infrastructure outside VexYra's reasonable control.

9. Failed Transactions

A transaction may fail, remain pending, be reversed or otherwise not complete due to circumstances involving banks, card networks, payment processors, authentication, fraud checks, technical failures or other causes.

If your account is charged but the VexYra service is not activated, you should retain the transaction reference and contact VexYra through the official support channel.

VexYra may verify the transaction with the applicable payment provider before activating the service or processing any refund.

Where a transaction is automatically reversed or refunded by the payment provider, the applicable amount may be returned to the original payment source in accordance with the payment provider's procedures.

10. Refunds & Cancellations

VexYra provides digital software services. Because access to a Paid Plan may be made available immediately after successful payment, subscription fees are generally non-refundable once the purchased service period has commenced or the service value has been made available.

However, this policy does not limit any refund, cancellation or other consumer right that cannot lawfully be excluded or restricted under applicable law.

Refunds may be considered in circumstances including:

• A confirmed duplicate payment.
• A successful payment where the purchased plan could not be activated because of a VexYra-side technical failure.
• A verified incorrect charge caused by an error on the VexYra side.
• A refund specifically required under applicable law.
• Another circumstance expressly approved by VexYra in writing.

Refund requests should be submitted promptly with the relevant account information and payment transaction reference.

Where approved, refunds will normally be processed to the original payment method, subject to the capabilities and procedures of the applicable payment provider.

Refund processing times may vary depending on the bank, card network, UPI provider or payment processor.

Cancellation

If your plan is not automatically renewing, no further cancellation is required after the purchased period ends.

If VexYra introduces an automatically renewing subscription option in the future, the applicable renewal and cancellation terms will be clearly presented before or during enrollment and will govern that subscription.

11. Chargebacks & Payment Disputes

If you believe a payment was made in error, please contact VexYra first so that the matter can be reviewed and, where appropriate, resolved directly.

A chargeback is a payment reversal initiated through a card issuer, bank or payment network.

VexYra may provide relevant transaction and account information to the applicable payment processor or financial institution when responding to a legitimate payment dispute or chargeback.

Fraudulent, unauthorized or deliberately misleading chargeback claims may result in account restriction or termination, subject to applicable law.

Nothing in this section limits any legitimate right you may have under applicable payment-network rules or law.

12. Service Availability

VexYra aims to provide a reliable and continuously improving service but does not guarantee that the Service will always be uninterrupted, error-free or available at every moment.

Temporary interruption may occur due to:

• Scheduled maintenance.
• Emergency maintenance.
• Security incidents.
• Cloud infrastructure failures.
• Internet or network failures.
• Third-party service outages.
• Events outside VexYra's reasonable control.

VexYra may modify, improve, replace or discontinue particular features where reasonably necessary for security, technical, commercial or operational reasons.

13. Acceptable Use

You agree to use VexYra Executive only for lawful, legitimate business and professional purposes.

You must not:

• Use the Service for unlawful, fraudulent or deceptive activities.
• Attempt to gain unauthorized access to accounts, systems, databases or infrastructure.
• Circumvent access controls, subscription restrictions or security mechanisms.
• Upload malicious code, viruses, malware or other harmful material.
• Interfere with the security, availability or operation of the Service.
• Reverse engineer, decompile or attempt to extract source code except where such restriction is prohibited by applicable law.
• Use the Service to violate another person's privacy, intellectual property or other legal rights.
• Use automated methods to abuse, overload or disrupt the Service.
• Resell, sublicense or commercially redistribute access unless expressly authorized by VexYra.

14. Business Data

You retain your rights in Business Data that you legitimately submit to VexYra Executive.

You are responsible for ensuring that you have the legal right and appropriate authorization to upload, store, process or otherwise use information through the Service.

This includes information relating to your employees, customers, suppliers, business partners and other third parties.

You must not upload information where doing so would violate applicable law, contractual obligations or the rights of another person.

VexYra may process Business Data as reasonably necessary to provide, secure, maintain and improve the Service, in accordance with the applicable Privacy Policy and contractual obligations.

You remain responsible for maintaining appropriate backups of critical business information.

15. Privacy & Personal Data

Your use of VexYra Executive is also subject to the VexYra Executive Privacy Policy.

The Privacy Policy explains the categories of personal information that may be collected, how information may be used, security practices, service providers, retention and applicable user rights.

Where you use VexYra Executive to process personal data relating to your customers, employees or other individuals, you are responsible for determining the appropriate lawful basis, notices, permissions and organizational safeguards required for your use case.

16. Intellectual Property

VexYra Executive, including its software, source code, visual design, user interface, branding, logos, graphics, text, documentation, architecture and other original materials, is owned by or licensed to VexYra and is protected by applicable intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable and revocable right to use the Service during the applicable period for your legitimate business purposes.

No ownership rights in the Service are transferred to you through your use of the Service or purchase of a Paid Plan.

You must not copy, reproduce, modify, distribute, sell, lease, sublicense or create derivative works from the Service except where expressly permitted by VexYra or applicable law.

17. Third-Party Services

VexYra Executive may integrate with or rely upon third-party services, including authentication, cloud-storage, analytics, communications, payment processing and other infrastructure providers.

Examples may include Firebase and Razorpay or other providers used from time to time.

Third-party services are governed by their own terms and policies. VexYra does not control third-party systems and is not responsible for failures caused solely by those third-party services, subject to applicable law.

18. Suspension & Termination

You may stop using VexYra Executive at any time.

VexYra may suspend or terminate an account where reasonably necessary because of:

• Material violation of these Terms.
• Fraudulent, abusive or unlawful activity.
• Unauthorized access or attempted security compromise.
• Non-payment or payment-related abuse.
• Requirements imposed by law, regulators or payment providers.
• Circumstances presenting a significant security or operational risk.

Where reasonably practicable, VexYra may provide notice and an opportunity to address the issue before termination, except where immediate action is required for security, legal or fraud-prevention reasons.

Termination does not automatically create a right to a refund of amounts already paid, except where required by applicable law or expressly approved by VexYra.

19. Disclaimers

VexYra Executive is provided as a business software platform intended to assist users with business management, organization, monitoring, planning and decision-support activities.

The Service does not constitute legal, accounting, financial, tax, investment, medical or other professional advice.

You remain solely responsible for business decisions made using information entered into or generated through the Service.

To the maximum extent permitted by applicable law, VexYra does not warrant that the Service will satisfy every specific business requirement or that every feature will operate without interruption or error.

20. Limitation of Liability

To the maximum extent permitted by applicable law, VexYra will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, business opportunities or anticipated savings arising from or relating to your use of the Service.

To the maximum extent permitted by applicable law, VexYra will not be responsible for losses caused by your misuse of the Service, unauthorized account access resulting from compromised credentials, inaccurate information supplied by you, third-party service failures or events outside VexYra's reasonable control.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Where liability cannot legally be excluded but may be limited, the limitation shall apply to the maximum extent permitted by applicable law.

21. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless VexYra and its applicable officers, employees, contractors and service providers from claims, losses, liabilities, damages, costs and reasonable expenses arising from:

• Your violation of these Terms.
• Your unlawful use of the Service.
• Your infringement of another person's rights.
• Business Data or other content submitted by you that violates applicable law or third-party rights.
• Your fraudulent or unauthorized use of the Service.

This provision applies only to the extent permitted by applicable law.

22. Changes to the Service

VexYra may modify, update, improve, replace or discontinue features of VexYra Executive from time to time.

Changes may be necessary to improve security, comply with law, introduce new functionality, address technical limitations or respond to operational requirements.

Where a material change substantially affects an active paid service, VexYra will take reasonable steps to provide notice where appropriate.

23. Changes to These Terms

VexYra may update these Terms from time to time.

The updated version will be published on this page with an updated effective date.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.

If you do not agree with a material update, you should stop using the Service and, where applicable, contact VexYra regarding your account or paid service.

24. Governing Law & Disputes

These Terms shall be governed by and interpreted in accordance with the laws applicable in India, subject to any mandatory consumer protection or other statutory rights that apply to you.

The parties should first attempt to resolve disputes through good-faith communication and reasonable efforts to resolve the issue directly.

If a dispute cannot be resolved informally, it may be referred to a court or other competent authority having jurisdiction under applicable law.

Nothing in these Terms prevents a consumer from exercising a mandatory right or remedy available under applicable law.

26. Important Legal Notice

These Terms are intended to establish the general contractual framework governing use of VexYra Executive. They should be read together with the VexYra Executive Privacy Policy and any specific commercial terms shown during a purchase.

Nothing in these Terms is intended to exclude, restrict or waive a right, remedy, warranty or protection that cannot legally be excluded, restricted or waived under applicable law.

If any provision of these Terms is determined by a competent authority to be invalid or unenforceable, the remaining provisions will continue to operate to the maximum extent permitted by law.

The failure of VexYra to enforce a provision of these Terms does not constitute a waiver of the right to enforce that provision later.

These Terms, together with the applicable Privacy Policy and purchase-specific terms presented to you, constitute the principal terms governing your use of VexYra Executive.
